What type of companies in Malaysia need to undergo audits?

In Malaysia, certain companies are required by law to undergo an audit, as stipulated by the Companies Act 2016 and other relevant regulations. These include:

  • Private companies (Sdn. Bhd.);
  • Public companies (Berhad);
  • Other entities i.e. certain statutory bodies, financial institutions, and non-profit organisations.
Can a company be exempted from undergoing an audit in Malaysia?

Yes. A company can be exempted from undergoing an audit in Malaysia if it falls under these 3 categories:

Type of private company Criteria
Dormant Companies Companies must have either been dormant since the time of incorporation, or dormant during the immediate past and current financial year.
Zero-Revenue Companies Companies must fulfil the following requirements:
  • No revenue during the current financial year and in the immediate past two financial years; and
  • Total assets do not exceed RM300,000 for the current Statement of Financial Position and in the immediate past two financial years.
Threshold-Qualified Companies Companies must fulfil the following requirements:
  • Annual revenue not exceeding RM100,000 during the current financial year and the immediate past two financial years;
  • Total assets in the current Statement of Financial Position of RM300,000 or less and in the immediate past two financial years; and
  • Has not more than 5 employees at the end of its current financial year and in the immediate past financial years.

Based on SSM new released Practice Directive 10/2024 – Qualifying Criteria For Audit Exemption For Certain Private Companies In Malaysia FAQ, which introduces a new framework for audit exemption for certain categories of private companies in Malaysia.

The new criteria will be applicable to financial statements with annual periods commencing on or after 1 January 2025.

Private companies meeting at least two of the following revenue, assets, and employee thresholds are eligible to adopt the audit exemption framework:
